Listing details and share structure
Agility Robotics, Inc., based in Salem, Oregon, announced on November 4, 2026 that the transaction with Churchill Capital Corp XI (Nasdaq: CCXI) has closed. Churchill XI's common stock, warrants and units will stop trading under their previous ticker symbols. The combined company's common stock and warrants are expected to start trading on Nasdaq on November 5, 2026, under the symbols "AGLT" and "AGLTW".
Churchill XI's outstanding units have been separated into their underlying securities and will no longer be listed on Nasdaq. Agility also said that all existing shareholders will roll 100% of their equity into the combined company, as previously announced. Shares held by those shareholders and by the Churchill sponsor face a lock-up on sales for 180 days after closing, with possible early release based on certain stock price performance measures.
Agility will submit customary SEC filings to register the resale of some of these shares. The company said this registration will not affect the lock-up restrictions.
Digit, customers and deployments
Agility develops humanoid robots and physical AI systems meant to augment the human workforce by automating repetitive and physically demanding tasks. Its flagship robot, Digit, is deployed commercially in manufacturing, distribution and logistics with enterprises including GXO, Schaeffler and Toyota Motor Manufacturing Canada.
GXO recently expanded its agreement to deploy Digit at two additional U.S. facilities, with deployments expected to begin in early 2027. Agility also signed a commercial agreement with AGCO to pilot Digit at its manufacturing facility in Hesston, Kansas, starting in 2027. The company says Digit has logged more than 65,000 hours of real-world operation, which it cites as evidence that it has years of experience in commercial environments.
Digit 5, RoboFab and Agility Arc
Agility is advancing Digit 5, a next-generation humanoid designed for cooperative safety. The goal is to let robots work in close proximity to people in dynamic industrial environments. According to the company, it has secured more than $300 million in committed multi-year orders for Digit 5, subject to contractual milestones.
To support adoption, Agility points to two pieces of infrastructure:
- RoboFab: its U.S. manufacturing facility, designed to produce up to 10,000 robots annually.
- Agility Arc: its cloud-based enterprise software platform for deploying and managing robot fleets.
The press release's forward-looking statements caution that Agility faces significant technical challenges, may not achieve commercialization or market acceptance, has a history of net losses and a limited operating history, and may need additional financing. They also say the 10,000-robot figure is a designed capacity, and that Agility's ability to reach it is uncertain.
What it means for the market
The listing gives Agility access to public markets as it tries to move from early deployments to broader adoption of humanoid robots in industrial settings. The company describes the combination as a way to join real-world operating experience, proprietary physical AI technology and an integrated manufacturing and deployment platform. Whether that translates into growth depends on delivery of the Digit 5 orders, the planned GXO and AGCO rollouts, and the scaling of production, all of which the company itself flags as subject to risk.
A number of advisors worked on the deal, including Citigroup Global Markets Inc. as exclusive capital markets advisor and lead PIPE placement agent to Churchill XI, and BTIG, LLC as exclusive financial advisor to Agility. Latham & Watkins LLP advised Agility on legal matters.
