Agility Robotics and Churchill Capital Corp XI expect the humanoid robot maker's gross capital raise to reach approximately $465 million, before transaction expenses, according to a joint announcement. The business combination is expected to close on November 4, 2026, with trading on Nasdaq under the ticker "AGLT" planned for November 5.

Key points
  • Agility Robotics expects a gross capital raise of approximately $465 million, before transaction expenses.
  • The raise includes about $164 million from the SPAC trust, about $201 million from a PIPE led by Foxconn, and $100 million already received.
  • Closing is expected on November 4, 2026, with Nasdaq trading as AGLT expected on November 5, 2026.
  • Agility says it has more than $300 million in committed multi-year Digit 5 orders, which is not current-period revenue.
  • Early-access Digit 5 deliveries are targeted for the first half of 2027, with general availability at the end of 2027.

Where the $465 million comes from

The figure was set after the expiration of Churchill XI's redemption deadline. According to the companies, the gross raise has three parts:

  • Approximately $164 million from Churchill XI's trust account.
  • Approximately $201 million from a common stock PIPE committed at $10 per share, led by Foxconn with participation from existing and new institutional investors.
  • $100 million of equity funding already received after the business combination was announced.

Agility says it expects to enter the public markets well capitalized to carry out planned investments in commercial expansion and to support growing customer demand.

Closing conditions and listing

The deal still depends on approval by Churchill XI shareholders at an extraordinary general meeting on November 2, 2026, and on customary closing conditions. If it closes as expected, the combined company will operate as Agility Robotics. Its common stock is expected to begin trading on the Nasdaq Stock Market under the symbol "AGLT" on November 5, 2026.

Agility says all existing shareholders will roll their equity into the combined company and will be subject to a 180-day lock-up at closing. The company presents this as a sign of alignment with public shareholders. The companies also said the transaction is expected to create the only U.S. publicly listed pure-play humanoid robotics company with proven, active commercial deployments.

Churchill XI shareholders who submitted redemption requests can withdraw them at any time before the scheduled vote, by submitting a written request to the transfer agent, Continental Stock Transfer & Trust Company.

Commercial momentum and Digit 5

Agility pointed to recent commercial developments first highlighted in its October 26 announcement. These include an expanded relationship with GXO to deploy its Digit robot at two additional facilities, a commercial agreement with AGCO for a manufacturing pilot expected to begin in 2027, and three additional manufacturing customers participating in paid programs. The company's pipeline includes more than 30 prospective customers across manufacturing, automotive, aerospace, defense, logistics and consumer products.

Digit 5 was unveiled on September 15, 2026. Agility describes it as designed to work safely alongside people and support a broader range of industrial workflows. The company is on track to begin deliveries to early-access customers in the first half of 2027, with general availability targeted for the end of 2027.

Agility has previously disclosed more than $300 million in committed multi-year orders for Digit 5. It stresses that this figure represents potential multi-year value expected to be realized over time, subject to contractual milestones, product features and specifications, and does not represent current-period revenue.

Backers and what it means

Agility lists NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, DCVC and Playground Global among its strategic investors and partners. The company, based in Salem, Oregon, says Digit has logged more than 65,000 hours of real-world operation.

For the market, the listing would give investors direct access to a humanoid robotics company that says it already has paying deployments. Whether the vote passes and the deal closes on schedule remains subject to the shareholder approval and closing conditions described above.
